SUPPLEMENTAL MEMORANDUM OF UNDERSTANDING IN RELATION TO THE EXTENSION OF TERM OF THE LOAN MOU

Reference is made to the announcement of New Times Energy Corporation Limited (the ‘‘Company’’) dated 22 January 2013 (the ‘‘Announcement’’). Unless otherwise defined or the context otherwise requires, terms used herein shall have the same meaning as those defined in the Announcement.

On 30 January 2014, Total Belief Limited (the ‘‘Lender’’), a wholly-owned subsidiary of the Company, entered into a supplemental memorandum of understanding (the ‘‘Supplemental MOU’’) with Ms. Lin Ru Xiang (the ‘‘Borrower’’) to record the agreement reached on 10 November 2013, pursuant to which, both parties to the Supplemental MOU agreed to, among other things, extend the term of the Loan MOU from 10 November 2013 to 10 November 2014 (or such later date and time as the Lender and the Borrower shall agree in writing) (the ‘‘Extended Term’’), and the interests shall continue to accrue and be payable upon expiry of the Extended Term.

Save and except for the Extended Term, all other terms and conditions of the Loan MOU remain unchanged and continue in full force and effect.

As at the date of this announcement, the Board comprises eight Directors, of whom three are executive Directors, namely Mr. Cheng Kam Chiu, Stewart, Mr. Cheng Ming Kit and Mr. Wong Tai Cheung, Andrew; one is a non-executive Director, namely Mr. Heffner, Paul Lincoln; and four are independent non-executive Directors, namely Mr. Wong Man Kong, Peter, Mr. Chan Chi Yuen, Mr. Yung Chun Fai, Dickie and Mr. Chiu Wai On.
