VOLUNTARY ANNOUNCEMENT

SUBSCRIPTIONS OF CORPORATE BONDS

The Board announces that during the seven months ended 31 July 2014, the Company has entered into separate subscription agreements with certain private investors (the “ Subscribers ”) in relation to the issuance of corporate bonds by the Company.

Details of the subscriptions of the said bonds are as follows:

The Board is of the view that the terms of each of the said subscription agreements and the transactions thereunder are on normal commercial terms, fair and reasonable, and are in the interests of the Company and its shareholders as a whole.

Completion of the said subscriptions has taken place and the net proceeds from the said subscriptions were placed with banks in Hong Kong for use as general working capital of the Group.

As at the date of this announcement, the Board comprises seven Directors, of whom two are executive Directors, namely Mr. Cheng Kam Chiu, Stewart and Mr. Cheng Ming Kit; one is a non-executive Director, namely Mr. Heffner, Paul Lincoln; and four are independent non-executive Directors, namely Mr. Wong Man Kong, Peter, Mr. Chan Chi Yuen, Mr. Yung Chun Fai, Dickie and Mr. Chiu Wai On.
