EXTENSION OF LONG STOP DATE OF THE PLACING AGREEMENT

Reference is made to the announcement of New Times Energy Corporation Limited (the ‘‘Company’’) dated 20 January 2012 (the ‘‘Announcement’’) in respect of placing of new shares under general mandate. Unless otherwise stated herein, terms and expressions used herein shall have the same meanings as those defined in the Announcement.

As stated on page 4 of the Announcement, the latest time for all the conditions of the Placing to be fulfilled is 10 February 2012, being twenty-one days from the date of the Placing Agreement (the ‘‘Long Stop Date’’).

As more time is required by the Placing Agents to confirm the list of Placees and subsequently by the Company to obtain the approval from the Listing Committee of the Stock Exchange for the listing of, and permission to deal in, all of the placing shares, a written supplementary agreement was entered into by the Company and the Placing Agents on 10 February 2012 (after trading hours) to extend the Long Stop Date to 24 February 2012 (or such later date as may be agreed between the Company and the Placing Agents in writing). Accordingly, the completion of the Placing Agreement would be on or before the seventh (7) Business Day following the satisfaction of the conditions set out under the section headed ‘‘Conditions of the Placing’’ in the Announcement (or such later date as may be agreed by the Company and the Placing Agents).

Save for the above, there is no other change to the terms and conditions of the Placing Agreement.

As at the date of this announcement, the board of Directors comprises seven Directors, of which two are executive Directors, namely Mr. Cheng Kam Chiu, Stewart and Mr. Cheng Ming Kit; two non-executive Directors, namely Mr. Wong Man Kong, Peter and Mr. Chan Chi Yuen; and three independent non-executive Directors, namely Mr. Fung Chi Kin, Mr. Fung Siu To, Clement and Mr. Chiu Wai On.
