CONFIRMATION LETTER IN RELATION TO

PROPOSED PLACING OF NEW SHARES UNDER SPECIFIC MANDATE

Reference is made to the announcements of New Times Energy Corporation Limited (the ‘‘Company’’) dated 30 August 2012 and 11 September 2012 and the circular of the Company dated 13 September 2012 (the ‘‘Circular’’) in respect of the proposed placing of new shares under a specific mandate. Unless otherwise stated herein, terms and expressions used herein shall have the same meanings as those defined in the Circular.

The Board would like to clarify that according to the confirmation letter dated 18 September 2012, the Company and the Placing Agents confirm that at the time of execution of the Supplementary Agreement, the Placing Price Determination Date shall be any day on or after the day the conditions precedent as set out in the section headed ‘‘Conditions precedent of the Placing’’ in the Circular are fulfilled and if applicable, save and except the condition precedent (ii) as ‘‘the Listing Committee of the Stock Exchange granting the listing of and permission to deal in the Placing Shares under the Placing’’, as determined at the sole and absolute discretion of the Company.
