POSTAL BALLOT NOTICE AND E-VOTING INFORMATION

Members are hereby informed that pursuant to the provisions of Section 108 and 110, and other applicable provisions of the Companies Act, 2013, as amended (the "Act") read together with the Companies (Management and Administration) Rules, 2014, as amended (the "Management Rules"), Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended (the "SEBI Listing Regulations"), Secretarial Standard-2 on General Meetings (the "SS-2") issued by the Institute of Company Secretaries of India, and any other applicable law, rules and regulations (including any statutory modification(s) or re-enactment(s) thereof for the time being in force), guidelines prescribed by the Ministry of Corporate Affairs (the "MCA"), Government of India for holding General Meeting / conducting Postal Ballot process through electronic voting (remote e-Voting) vide various General Circulars and other relevant circulars issued by the MCA (the "MCA Circulars") and Securities and Exchange Board of India, as amended from time to time, the approval of Members of Goa Carbon Limited (the "Company") is sought for the following Resolution by way of remote e-Voting ("e-Voting") process.

Pursuant to the MCA circulars, The Company has sent the Postal Ballot Notice along with the explanatory statement on Thursday, 30th April 2026 ONLY through electronic mode to those Members whose email addresses are registered with the Company / Depository Participant(s) / MUFG Intime India Private Limited, the Registrar and Transfer Agent ('RTA) and whose names are recorded in the Register of Members of the Company or in the Register of Beneficial Owners maintained by the Depositories as on Friday, 24th April 2026 ('Cut-off date'). Accordingly, physical copy of the Notice along with Postal Ballot Form and pre-paid business reply envelope have not been sent to the Members for this Postal Ballot. A person who is not a member as on the cut-off date should treat the Notice for information purpose only. The Company has completed the dispatch of the Notice to eligible shareholders through electronic mode on Thursday, 30th April 2026. The Postal Ballot Notice along with the Explanatory Statement is available on the Company's website http://www.goacarbon.com, on the website of the Company's Registrar and Transfer Agent ('RTA') MUFG Intime India Private Limited (MUFG Intime) at www.in.mpms.mufg.com, on the website of the stock exchanges where the equity shares of the Company are listed i.e. BSE Limited (www.bseindia.com) and National Stock Exchange of India Limited (www.nseindia.com).

In accordance with the provisions of the MCA circulars, Members can vote only through e-Voting process. The voting rights of the Members shall be reckoned on the basis of the equity shares of the Company held by them as on the Cut-off date. Any person who is not a Member as on the cut-off date shall treat this Notice for information purposes only. The Company has engaged the services of MUFG Intime as the agency to provide e-Voting facility. The detailed procedure / instructions on the process of e-Voting are specified in the Postal Ballot Notice.

The e-Voting facility will be available during the following period:

Commencement of e-Voting	9:00 a.m. IST on Wednesday, 6th May 2026
Conclusion of e-Voting	5:00 p.m. IST on Friday, 5th June 2026

The e-Voting facility will be disabled by MUFG Intime immediately after 5:00 p.m. on Friday, 5th June 2026.

Manner of registering / updating email address:

Physical Holding: Members, holding shares in physical mode are requested to get their email address registered by clicking the link www.in.mpms.mufg.com under Investor services > Email Registration

Demat Holding: Members, holding shares in dematerialised mode are requested to register / update their email address with their respective Depository Participants.

The Board of Directors of the Company have appointed Mr. Shivaram Bhat, Practising Company Secretary (ACS 10454, CP 7853), to act as the Scrutinizer, to scrutinize the entire e-Voting process in a fair and transparent manner. The results of the Postal Ballot will be announced not later than two working days from the conclusion of the e-Voting period for the postal ballot. The results declared along with the Scrutinizers Report shall be communicated to the BSE Limited and the National Stock Exchange of India Limited where the shares of the Company are listed. Additionally, the results will also be uploaded on the Company's website www.goacarbon.com and on the website of the Company's RTA, MUFG Intime at https://instavote.linkintime.co.in and will also be placed on the notice board at the Registered Office of the Company. The Scrutinizer's decision on the validity of the Postal Ballot shall be final.

एमसीए परिपत्रकांनुसार, कंपनीने टपाल मतपत्रिका सूचना आणि त्यासोबतचे स्पष्टीकरणात्मक निवेदन गुरुवार, ३० एप्रिल २०२६ रोजी केवळ इलेक्ट्रॉनिक माध्यमाद्वारे खालील सदस्यांना पाठवले आहे: ज्या सदस्यांचे ई-मेल पत्ते कंपनी / डिपॉजिटरी पार्टिसिपंट / MUFG Intime India Private Limited, (जे कंपनीचे रजिस्ट्रार आणि ट्रान्सफर एजंट - 'आरटीए' आहेत) यांच्याकडे नॉटणीकृत आहेत, आणि ज्यांची नावे शुक्रवार, २४ एप्रिल २०२६ ('कट-ऑफ तारीख') रोजी कंपनीच्या 'सदस्य नोंदवही'मध्ये किंवा डिपॉजिटरीजद्वारे एखल्या जाणाऱ्या 'लाभार्थी मालकांच्या नोंदवही'मध्ये नोंदवली गेली आहेत, अशा सदस्यांनाया 'पोस्टल बॅलट' प्रक्रियेसाठी सूचनेची छापील प्रत, तसेच 'पोस्टल बॅलट फॉर्म' आणि 'प्री-पेड बिज्ञानेस रिप्लाय लिफाफा' पाठवण्यात आलेले नाहीत.

जी व्यक्ती कट-ऑफ तारखेपर्यंत कंपनीची सदस्य नाही, तिने या सूचनेचा विचार केवळ माहितीसाठीच करावा. कंपनीने पात्र भागधारकांना इलेक्ट्रॉनिक माध्यमाद्वारे सूचना पाठवण्याची प्रक्रिया गुरुवार, ३० एप्रिल २०२६ रोजी पूर्ण केली आहे.

'पोस्टल बॅलट'ची सूचना आणि त्यासोबतचे 'स्पष्टीकरणात्मक निवेदन' (Explanatory Statement) हे कंपनीच्या संकेतस्थळावर (http://www.goacarbon.com), कंपनीचे रजिस्ट्रार आणि ट्रान्सफर एजंट ('आरटीए') असलेल्या MUFG Intime India Private Limited (MUFG Intime) यांच्या संकेतस्थळावर (www.in.mpms.mufg.com.), तसेच कंपनीचे इक्विटी शेअर्स सूचीबद्ध असलेल्या शेअर बाजारांच्या संकेतस्थळांवरम्हणजेच बीएसई लिमिटेड (www.bseindia.com) आणि नॅशनल स्टॉक एक्सचेंज ऑफ इंडिया लिमिटेड (www.nseindia.com) येथे उपलब्ध आहेत.

एमसीएच्या परिपत्रकांमधील तातुदींनुसार, सदस्य केवळ 'ई-मतदान' प्रक्रियेद्वारे मतदान करू शकतात. सदस्यांचे मतदानाचा अधिकार, कट-ऑफ तारखेपर्यंत त्यांच्याकडे असलेल्या कंपनीच्या इक्विटी शेअर्सच्या संघनेवर आधारित असेल. जी व्यक्ती कट-ऑफ तारखेपर्यंत कंपनीची सदस्य नाही, तिने या सूचनेचा विचार केवळ माहितीसाठीच करावा. 'ई-मतदान' सुविधा पुरवणारी संस्था म्हणून कंपनीने MUFG Intime यांची सेवा घेतली आहे. 'ई-मतदान' प्रक्रियेबाबतची सविस्तर कार्यपद्धती / सूचना या 'पोस्टल बॅलट' सूचनेमध्ये नमूद करण्यात आल्या आहेत.

'ई-मतदान' सुविधा खालील कालावधीत उपलब्ध असेल:

ई-मतदानाची सुरुवात:	बुधवार, ६ मे २०२६ रोजी सकाळी ९:०० बाजता (भा.प्र.वेळ)
समाप्ती ई-मतदान:	शुक्रवार, ५ जून २०२६ रोजी साय. ५:०० बा. (भा.प्र.वेळ) पर्यंत

शुक्रवार, ५ जून २०२६ रोजी साय. ५:०० बाजल्यानंतर लगेचच, MUFG Intimeद्वारे ई-मतदान सुविधा बंद (निष्क्रिय) केली जाईल.

ई-मेल पत्ता नोंदवण्याची / अद्यावत करण्याची पद्धत:

शीतिक स्वरूपातील समभाग: ज्या सदस्यांकडे समभाग भौतिक स्वरूपात (कागदी स्वरूपात) आहेत, त्यांना विनंती करण्यात येते की त्यांनी 'गुंतवणूकदार सेवा' 'ई-मेल नोंदणी' अंतर्गत www.in.mpms.mufg.com या लिंकवर क्लिक करून आपला ई-मेल पत्ता http://www.goacarbon.com, नोंदवून घ्यावा.

डीमेंट स्वरूपातील समभाग: ज्या सदस्यांकडे समभाग डीमटेरियलाइज्ड (डीमेंट) स्वरूपात आहेत, त्यांना विनंती करण्यात येते की त्यांनी आपला ई-मेल पत्ता त्यांच्या संबंधित 'डिपॉजिटरी पार्टिसिपंट्स'कडे नोंदवावा किंवा अद्यावत करावा.

कंपनीच्या संचालक मंडळाने, संपूर्ण ई-मतदान प्रक्रियेची लिंकवर आणि पारदर्शक पद्धतीने छाननी करण्यासाठी, जे. शिवराम भट्ट (प्रेक्टिसिंग कंपनी सेक्रेटरी - ACS १०४५४, CP ७८५३) यांची 'छाननी अधिकारी' म्हणून नियुक्त केली आहे.

पोस्टल बॅलटसाठीच्या ई-मतदान कालावधीची समाप्ती झाल्यानंतर, दोन कामकाजाच्या दिवसांच्या आत (किंवा त्यापूर्वीच) पोस्टल बॅलटचे निकाल जाहीर केले जातील: जाहीर करण्यात आलेले निकाल, तसेच छाननी अधिकाऱ्याचा अहवाल (Scrutinizer's Report), श्रीएसई लिमिटेड आणि नॅशनल स्टॉक एक्सचेंज ऑफ इंडिया लिमिटेड या दोन्ही ठिकाणी कळवले जातील; ज्या ठिकाणी कंपनीचे समभाग सूचीबद्ध आहेत. याव्यतिरिक्त, हे निकाल ..तसेच ते कंपनीच्या www.goacarbon.com या संकेतस्थळावर, आणि कंपनीचे आरटीए (नोंदणी व हस्तांतरण अधिकारी) असलेल्या MUFG Intimeच्या https://instavote.linkintime.co.in या संकेतस्थळावर देखील अपलोड केले जातील; शिवाय, कंपनीच्या नॉटणीकृत कार्यालयातील सूचना फलकावरही ते प्रदर्शित केले जातील. टपाल मतपत्रिकेच्या वैधतेबाबत 'स्कूटिनायझर'चा (टपासनीस/परीक्षक) निर्णय अंतिम असेल.
