Re: Intimation under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 with respect to appointment of Directors and reconstitution of the Nomination & Remuneration Committee

Further to the outcome of board meeting dated May 28, 2021 bearing reference no. GMM/SEC/202122/09 and pursuant to the Regulation 30 (Listing Obligations & Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’), this is to inform you that the Board of Directors of GMM Pfaudler Limited (“Company”) vide resolution passed by way of circulation on June 28, 2021 have:

1. Approved the appointment of Mr. Günter Bachmann (DIN: 0009218679) as a Non-Executive Director representing Pfaudler Inc., w.e.f. June 28, 2021 to fill in the casual vacancy caused by the resignation of Mr. Thomas Kehl, Non-Executive Director of the Company on May 28, 2021.

As per Circular dated September 09, 2015 issued by Securities and Exchange Board of India the necessary disclosure in respect of director appointed by the Company are as under:

• a) Reason for change viz. appointment, resignation, removal, death or otherwise Pfaudler, Inc., the foreign promoter of the Company, vide letter date May 24, 2021 nominated Mr. Günter Bachmann as Non-Executive Director representing Pfaudler, Inc. to fill in the casual vacancy caused by the resignation of Mr. Thomas Kehl, Non-Executive Director.

b) Date of appointmen ~~t/cessation~~ (as applicable) & term of appointment -

• June 28, 2021, the office of the said director shall be liable to retire by rotation

• c) Brief profile (in case of appointment) -

• Mr. Günter Bachmann is not related to the other directors of the Company.

Mr. Günter Bachmann is not debarred from holding the office by virtue of Order issued by SEBI or any other authority.

Brief Profile of Mr. Günter Bachmann:

Mr. Guenter Bachmann aged 66 years, has over 43 years of experience in the Semiconductor Industry as well as in the specialized Equipment Industry working for more than 15 years in Singapore and the USA (California) as CEO/CFO of various global Companies.

Between 2004 and 2013 Mr. Bachmann was CEO/CFO of the Coperion Group. Mr. Bachmann served on the Board of various Companies as Chairman or Deputy Chairman between 2009 until today (e.g. Singulus Technologies AG, Cleanpart Group GmbH and Pfaudler International S.a.r.L. -Luxembourg).

Mr. Bachmann has a degree in Economics/Business from the University of Applied Sciences in Frankfurt.
