Dear Sir/ Ma’am,

Pursuant to the SEBI Listing Regulations, we wish to inform you that Mr. Günter Bachmann, Non – Executive Director representing Pfaudler Inc., Foreign Promoter of th ~~e~~ Company, has tendered his resignation as a Director of the Company w.e.f. July 21, 2021, due to personal reasons. Consequent to his resignation, Mr. Bachmann ceases to be a member of the Nomination & Remuneration Committee w.e.f. July 21, 2021.

In view of the said resignation, please note that item No. 9 of Notice of the 58[th] Annual General Meeting (“AGM”) i.e. To consider and appoint Mr. Günter Bachmann (DIN 0009218679) as the Director of the Company hereby stands rescinded and the said item will not be taken up for consideration at the AGM to be held on August 13, 2021.

Further, as the Annual Report for the financial year 2020-21 and the Notice of the 58[th] AGM had already been dispatched to the shareholders of the Company on July 19, 2021, a separate communication is being sent to the shareholders intimating about rescinding of the Agenda Item No. 9 pertaining to regularization of appointment of Mr. Günter Bachmann (DIN 0009218679) as the NonExecutive Director of the Company.
