Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) Named executive officer Roger C. Smith resigned as Chief Executive Officer of American Income Life Insurance Company and Liberty National Life Insurance Company, subsidiaries of Torchmark Corporation, effective December 30, 2016. Effective January 1, 2017, he was elected Chief Executive Officer, AIL Agency Division and Chief Executive Officer, LNL Agency Division. Mr. Smith will retire from all officer positions within the Torchmark Family of Companies on December 31, 2017, the announced effective date of his retirement.
