Notice of General Meeting

Proposed capital reorganisation

GlobalData Plc, the leading provider of industry intelligence, announces that it will today issue a circular to shareholders convening a General Meeting at which a proposed capital reorganisation will be considered. 

The Board's proposal will involve a consolidation of the Company's existing share capital (consolidating every 14 existing ordinary shares into one consolidated share) followed by a subdivision of every consolidated share into 100 new ordinary shares.  To effect the consolidation, it will be necessary to issue nine additional ordinary shares so that the Company's issued ordinary share capital is exactly divisible by 14.

The Board believes that the Capital Reorganisation would benefit all shareholders and make the Company's shares more accessible to retail investors.  It may also improve the liquidity of the market in the Company's shares and reduce in percentage terms the bid / offer spread in the Company's shares.

The General Meeting will be held at John Carpenter House, 7 Carmelite Street, London, EC4Y 0BS on Tuesday 25 July 2023 at 2.00 pm.
