Item 7.01 Regulation FD Disclosure.

On August 1, 2022, Global Payments Inc. (“ Global Payments ”) and EVO Payments, Inc. (“ EVO Payments ”) issued a joint press release announcing the execution of an Agreement and Plan of Merger, dated as of August 1, 2022 (the “ Merger Agreement ”), by and among Global Payments, EVO Payments and Falcon Merger Sub Inc., a wholly owned subsidiary of Global Payments (“ Merger Sub ”), pursuant to which, subject to the terms and conditions set forth therein, Merger Sub will merge with and into EVO Payments, with EVO Payments surviving as a wholly owned subsidiary of Global Payments. A copy of the press release is furnished as Exhibit 99.1 hereto and is incorporated herein by reference.
