GLOBAL LITHIUM RECEIVES REVISED 249D NOTICE, LIAOLIANG ZHU NOMINATED AS DIRECTOR

Established multi-asset Western Australian lithium company Global Lithium Resources Limited (ASX: GL1, “Global Lithium” or “the Company”) advises, in accordance with ASX Listing Rule 3.17A, it has received revised notices under sections 203D and 249D of the Corporations Act 2001(Cth) from Sincerity Development Pty Ltd (“Sincerity”), a company controlled by Mr Liaoliang (Leon) Zhu, requesting the Company hold a meeting of shareholders to consider proposed Board changes ( Revised Requisition Notices ).

The Company previously received invalid notices from Sincerity as detailed in the GL1 announcement dated 20 August 2024 ( Invalid Notices ).

Sincerity is a substantial shareholder of the Company holding 18,023,984 shares representing 6.93% of the issued capital.

1. New Nomination

The Revised Requisition Notices seek the removal of independent non-executive directors Mr Greg Lilleyman and Ms Hayley Lawrance and the appointment of Mr Liaoliang Zhu to the Board. The Revised Requisition Notices also includes a resolution seeking to put a limit of three on the number of directors on the GL1 Board.

2. Withdrawal of Mr Barry Mitchell

The Invalid Notices sought the appointment of Mr Barry Mitchell (an experienced mining executive) as a director of GL1, though no consent to be a director of the Company was ever received from Mr Mitchell, despite a request from GL1. In the latest notices, Mr Mitchell’s name has been withdrawn by Sincerity. Sincerity’s nominee is now Mr Liaoliang (Leon) Zhu.

3. Further updates

Global Lithium is currently considering the Revised Requisition Notices for GL1 and will continue to keep shareholders updated on any material developments.
