Outcome of Meeting No. 06 of FY 2025-2026 of the Board of Directors of the Company held on Tuesday, the 16[th] day of December , 2025 through permitted Audio Visual means

Dear Sir/Madam,

Further to our letter Ref. No. GEL/CS/ 356 dated Wednesday, the 10[th] December, 2025and with reference to the captioned subject, we wish to inform you that:

1. The Meeting No. 06 of Financial Year 2025-2026 of the Board of Directors of the Company was held on Tuesday, the 16th day of December , 2025 through permitted Audio Visual means.

2. The Board of Directors has approved the sale/disposal upto 1,10,000 (One Lakh Ten Thousand) equity shares of National Stock Exchange of India Ltd. (NSE ) ( CIN : U67120MH1992PLC069769 ), at an indicative price range not below ₹1,800 per share. The proposed transaction is expected to be executed during the current or the subsequent quarter, in the phased manner subject to finalisation of terms and completion of applicable procedural and regulatory formalities. The financial impact and consideration realised will be disclosed upon completion of the transaction or in the subsequent financial results /Annual Reports, as applicable.

The Board has authorised the Chief Financial Officer and the Company Secretary to finalise and execute all requisite documents, engage with authorised intermediaries, make necessary statutory and regulatory filings, and undertake all actions required to give effect to the proposed sale.
