Outcome of Meeting No. 1 of Financial Year 2021-2022 of the Board of Directors of the Company held on Tuesday, the 27thday of April, 2021 at Nagpur

Dear Sir/Madam,

Further to our letter Ref. No. GEL/CS/151 dated 19thApril, 2021 and with reference to the captioned subject, we wish to inform you that:

1. The Meeting No. 01 of Financial Year 2021-2022 of the Board of Directors of the Company was held on Tuesday, the 27thday of April, 2021 at Nagpur.
1. The Board of Directors of the Company. have considered and declared the Payment of Interim dividend of Rs.1.50/- (Rupee One and Paise Fifty Only) per Equity Share of face value of, Rs.10/- each i.e 15%(Fifteen percent) on the equity shares in the capital of the Company for the financial year 2020-21; as duly reviewed, approved and recommended by the Audit Committee of the Company. Accordingly the Record Date (Cut off Date) for the purpose of the said Interim Dividend has been fixed as Saturday, 08thMay 2021.

A separate communication containing an intimation of Regulation 42 of the SEBI (Listing Obligations Regulations, 2015 (as amended) is attached as an Annex Book Closure date/s pursuant to and Disclosure Requirements)

The Board of Directors of the Company has also duly approved the following agenda item/s, namely: noted, considered, reviewed and

(a) Appointment of Mr. Rajiv Khurana (DIN: 09141745) as an Additional Director (Category — Non-executive, Independent) of the Company; effective 27thApril, 2021
(b) Cessation of Mr. Nandkishore Marthanrao Kondap (DIN No: 02063027), as a Director (Category : Non - Executive, Independent) of the Company under Regulation 17 [1A] of SEBI LODR Regulations, 2015, from the close of working hours on April 30, 2021.

Regulation 17 [1A] of SEBI LODR Regulations, 2015 says - No listed entity shall appoint a person or continue the directorship of any person as a non-executive director who has attained the age of seventy five years unless a prior special resolution is passed to that effect. As no such prior special resolution is passed and due to operation of aforesaid Regulation 17[1A] ; Mr. Nandkishore Marthanrao Kondap, shall cease to be Director (Category : Non - Executive, Independent) of the Company due to the operation of the aforesaid law w.e.f from the close of working hours on April 30, 2021.

The Board places on record its appreciation towards valuable contribution made by Mr. Nandkishore Marthanrao Kondap during his tenure as Director (Category : Non - Executive, Independent) of the Company.

(c) In view of change in constitution of Board of Directors of the Company, the Committees of the Board has been re-constituted in accordance with the provisions of Companies Act 2013 read with rules made under and SEBI (LODR), 2015 ( Listing Regulations)
(d) In view of aforesaid, Please find enclosed herewith the brief profile of Mr. Rajiv Khurana (appointee) marked as Annexure I .

Please be noted that the Meeting No. 1 of Financial Year 2021-2022 of the Board of Directors of the Company was commenced at 12.30 Hrs and concluded at 13.55 Hrs on Tuesday, the 27th April, 2021 at Nagpur.

Mr. Rajiv Khurana, aged about 60 Years is a Certified Management Consultant and a Fellow of the Institute of Management Consultants of India. He is an alumnus of Shri Ram College of Commerce, Delhi University. He has done numerous degrees/courses in Law and Management.

Mr. Rajiv Khurana has excellent track record of 5 years of industry and 35 years of consulting and training experience with a variety of MNCs, Indian corporates, International UN bodies, funding organizations, Non-profit organizations, colleges and schools in India. He has worked extensively in India, Asia and Africa.

Mr. Khurana An International Management Consultant, Trainer, Executive Coach, Corporate Board Advisor, Venture Mentor and Social Entrepreneur by description, he is a well published thought leader, writer, author, blogger and vlogger. He has been a TV and Radio anchor besides being an inquisitive award-winning photographer and a serious poet. He has co-led his social venture, Lung Care Foundation, create a Guinness World Record on December 23, 2017.

He has authored Nine books. More than 2000 of his articles/columns have been published in English and Hindi national dailies. He has been bestowed with numerous awards and recognized by DAV UNITED as Pride of DAV Institutions.

Relationship with the Company:

Mr. Rajiv Khurana does not have any shareholding of the Company nor does have any relationship with any of the Directors, Key Managerial Personnel's (KMP) or the Promoters of the Company.
