TERMINATION OF SUBSCRIPTION OF NEW SHARES UNDER GENERAL MANDATE

Reference is made to the announcements of Global Sweeteners Holdings Limited (the “ Company ”) dated 24 July 2022 and 30 December 2022 (the “ Announcements ”) in relation to the subscription of new Shares under General Mandate. Unless the context requires otherwise, capitalised terms used in this announcement shall have the same meaning as defined in the Announcements.

As disclosed in the Announcements, the Subscription Completion is conditional upon fulfilment (or waiver, as the case may be) of the Conditions Precedent on or before 4:00 p.m. of the Long Stop Date, being 28 February 2023, and the Subscription Completion shall take place on the fifth Business Day after the fulfilment (or waiver, as the case may be) of the Conditions Precedent (or on such other Business Day as may be agreed between the Company and the Subscriber in writing).

As the Conditions Precedent have not been fully fulfilled (or waived by the Subscriber, as the case may be) by 4:00 p.m. of the Long Stop Date and there has not been any agreement to further extend the Long Stop Date, the Subscription Agreement has therefore been terminated and all obligations of the Company and the Subscriber under the Subscription Agreement have ceased and determined.
