In conformity with Disclosure and Transparency Rule 5.6.1R, GlaxoSmithKline plc (the Company) hereby notifies the market of the following:

The Company's issued share capital as at 30 March 2012 consisted of 5,559,384,536 Ordinary Shares of 25p each, of which 516,517,927 Ordinary Shares are held in Treasury.

Therefore, the total number of voting rights in the Company is 5,042,866,609. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the Financial Services Authority's Disclosure and Transparency Rules.
