一、董事会会议召开情况

郑州光力科技股份有限公司（以下简称“公司”）第二届董事会第十次会议 于 2015 年 5 月 28 日在公司会议室召开。公司董事赵彤宇、胡延艳、李祖庆、孙 建华、李玉霞、裴硕秋、鲁运方、马书龙、胡智宏出席本次会议，本次董事会应 到董事 9 人，实到 9 人，会议由董事赵彤宇主持。董事会秘书兼副总经理、财务 负责人曹伟列席了本次会议。本次董事会的召开符合《公司法》等法律、法规、 规章和《公司章程》的规定。

二、董事会会议审议情况

1、通过《关于调整公司首次公开发行人民币普通股（A 股）股票募集资金 投向及可行性方案的议案》，其中 9 票赞成、0 票反对、0 票弃权。

同意根据公司发行方案及外部环境的变化、公司经营发展的需要对募集资 金投资项目、投资额及募集资金用途等进行进一步调整，本次调整后的募集资金 投向及募投项目基本情况如下：

（1）瓦斯与粉尘监控设备与系统改扩建项目，项目建设规模为占地面积约 10 亩，总建筑面积为 14,400 平米，主要建筑为新建 10 层生产及研发大楼用于本 项目，该项目总投资 8,751.33 万元，拟使用募集资金 8,535 万元。

（2）研发平台升级项目，项目建设规模为占用拟建生产与研发大楼第 10 层 1,600 平方米，用于研发平台升级项目，该项目总投资为 5,405.08 万元，拟使 用募集资金 5,405.08 万元。

同意上述募集资金投资项目经修改后的可行性研究报告。

2、通过《公司 1-3 月财务报表》，其中 9 票赞成、0 票反对、0 票弃权。
