NOTICE

Notice is hereby given that the Company has, on 25th February, 2019 completed the dispatch of Postal Ballot Notice pursuant to Sections 108 and 110 and other applicable provisions of the Companies Act, 2013 read with the Companies (Management and Administration) Rules, 2014, along with Postal Ballot Form ('Form') and self-addressed, postage pre-paid envelope to all the shareholders whose names are appearing on the Register of Members as on 18th February 2019, seeking approval by postal ballot including voting by electronic means.

The Company seeks Shareholders approval by way of Special Resolutions for the re-appointment/continuation of appointment of the following Directors.

1. Mr. M. L. Lahoti, Mr. N. K. Navalakha and Mr. P. S. Lodha to be re-appointed as Independent Director for a second term from 1st April, 2019.

2. Continuation of Directorship by Mr. G. Srinivasan from 29th June, 2019.

The Login ID and Password have been provided, both in the Form, as also in the e-mail to enable shareholders to use e-voting facility. Shareholders who have already used the facility of e-voting may use their existing Login ID and Password.

Mr. Arup Kumar Roy, Company Secretary, has been appointed as Scrutinizer for scrutinizing the postal ballot in a fair and transparent manner.

The voting shall commence from Monday, 25th February, 2019 from 9.00 A.M. and end on Tuesday, 26th March, 2019 at 5.00 P.M. The e-voting platform will be disabled at 5.00 P.M. on Tuesday, 26th March, 2019. The Postal Ballot Form should reach the Scrutiniser not later than 5.00 P.M. on Tuesday, 26th March, 2019.

Members who have not received the Form and are desirous of seeking a duplicate Form or having any grievance pertaining to the postal ballot process can contact the Company's Registrars and Share Transfer Agents, M/s.
