GIOCAMONDO STUDY: INTEGRALMENTE ESERCITATA L'OPZIONE GREENSHOE
Ascoli Piceno, 2 luglio 2025 - Giocamondo Study S.p.A. (ticker EGM: GMS), PMI innovativa di Ascoli Piceno ai vertici nazionali nel settore vacanze studio per ragazzi in tutto il mondo, comunica che in data odierna, il Global Coordinator Value-Track SIM S.p.A. ha esercitato integralmente l'opzione Greenshoe in aumento di capitale concessa dalla Società in fase di collocamento delle proprie azioni ordinarie, per complessive n. 250.000 azioni.
Il prezzo di riferimento delle azioni oggetto dell'opzione Greenshoe è pari a € 1,70, corrispondente al prezzo stabilito nell'ambito del collocamento delle azioni della Società, per un controvalore complessivo pari a € 425.000. ll regolamento delle azioni oggetto dell'opzione Greenshoe avverrà in data odierna.
Inoltre, sulla base delle informazioni fornite da Value-Track SIM S.p.A. e anche per conto della stessa, la Società comunica che durante il periodo di stabilizzazione, dalla data di inizio delle negoziazioni delle azioni sul mercato Euronext Growth Milan fino alla data odierna, non è stata effettuata alcuna operazione di stabilizzazione.
A seguito dell'esercizio dell'opzione Greenshoe, il collocamento di Giocamondo Study ha riguardato complessive n. 2.500.000 azioni esclusivamente in aumento di capitale, incluse le n. 250.000 azioni rinveniente dall'esercizio dell'opzione greenshoe da parte del Global coordinator, per un ammontare complessivo pari a euro 4.250.000.
A seguito dell'esercizio integrale dell'opzione Greenshoe, il flottante calcolato sul totale delle azioni è pari al 20% e il capitale sociale è così rappresentato:

GIOCAMONDO STUDY: GREENSHOE OPTION FULLY EXERCISED
Ascoli Piceno, 2 July 2025- Giocamondo Study S.p.A. (ticker EGM: GMS), an innovative SME from Ascoli Piceno, topping the national level in the study holidays for children sector all over the world, announces that today, the Global Coordinator Value-Track SIM S.p.A. has fully exercised the Greenshoe option in the capital increase granted by the Company during the placement of its ordinary shares, for a total of 250,000 shares.
The reference price of the shares subject to the greenshoe option is € 1.70, which corresponds to the price set as part of the placement of the Company's shares, for a total value of € 425,000. The settlement of the shares subject to the greenshoe option will take place today.
In addition, based on the information provided by and also on behalf of Value-Track SIM S.p.A., the Company reports that during the stabilization period, since the date of initiation of trading of the shares on the Euronext Growth Milan market until today, no stabilization transaction has been carried out.
Following the exercise of the greenshoe option, the placement of Giocamondo Study involved a total of 2,500,000 shares exclusively as a capital increase, including 250,000 shares resulting from the exercise of the greenshoe option by the Global coordinator, for a total amount of 4,250,000 euros.
After the full exercise of the Greenshoe option, the free float calculated on the total number of shares is 20% and the share capital is represented as follows:
