Sub: Organization announcement – Change in Chief Financial officer and Director of the Company

In accordance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we hereby inform you that Mr. Gautam Kamath, Director & Chief Financial Officer has tendered his resignation as the Director & Chief Financial Officer of the Company effective close of business hours of October 31, 2024, as he will be moving onwards to a new assignment as Vice President - Corporate Strategy in the P&G Global Headquarter. Letter of resignation received from Mr. Kamath is enclosed herewith. The Company places on record its appreciation for his contributions to the Company during his tenure.

Further, pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we would like to inform you that the Board of Directors of the Company, at its meeting held today, have appointed Ms. Srividya Srinivasan as Chief Financial Officer of the Company and Additional (Executive) Director effective November 1, 2024, subject to allotment of Director Identification Number by the Ministry of Corporate Affairs.

A brief profile of Ms. Srividya Srinivasan is produced below for your kind perusal:

Ms. Srividya Srinivasan is a Bachelor of Computer Science Engineering, from Anna University, Coimbatore, India and a Master of Business Administration (MBA) in Finance from University of Virginia, Darden School of Business. She brings a diverse and rich experience in various finance roles across a career spanning 19 years. She joined P&G in 2005 in the United States of America and has since worked across various roles delivering outstanding results for several P&G businesses as well as serving various markets, including USA, Latin America, Philippines. An alumnus of Darden School of Business, University of Virginia, she currently is the Vice President & Head of Global Business Services and Global External Reporting in P&G Philippines.

Ms. Srinivasan will hold office as Additional Director up to the ensuing Annual General Meeting. Appointment of Ms. Srinivasan as Executive Director is subject to approval of Central Government, in accordance with Section 196 of the Companies Act, 2013 read with Schedule V to the Act and approval of the Shareholders of the Company.

We confirm, basis the declarations received, that Ms. Srinivasan is not debarred from holding the office of Director by virtue of any order from SEBI/ MCA or any other such authority and that she is not disqualified from holding the office of a Director pursuant to the provisions of Section 164 of the Companies Act, 2013. Further, she does not hold any shares in the Company and is not related to any of the Directors of the Company.

The meeting of the Board of Directors commenced at 1:50 p.m. and discussions on the above agenda items concluded at 2:00 p.m. The Board Meeting is continuing for consideration of other agenda items.
