ZAWIADOMIENIE O ZMIANIE UDZIAŁU W OGÓLNEJ LICZBIE GŁOSÓW W SPÓŁCE PUBLICZNEJ

Wykonując obowiązek określony w art. 77h ust. 3 w związku z 69a ust. 1 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych ("Ustawa o Ofercie"), UBO składa niniejsze zawiadomienie.

1. DATA I RODZAJ ZDARZENIA POWODUJĄCEGO ZMIANĘ UDZIAŁU, KTÓREJ DOTYCZY ZAWIADOMIENIE

Podstawą zawiadomienia jest dokonanie w dniu 22 października 2024 r. rozliczenia transakcji nabycia akcji Spółki ("Akcje") w wyniku wezwania do zapisywania się na sprzedaż Akcji ogłoszonego przez Gi Group Holding S.p.A. z siedzibą w Mediolanie, Włochy ("GGH") w dniu 12 września 2024 r., ("Nabycie Akcji"), w wyniku której doszło do zmiany udziału GGH w ogólnej liczbie głosów w Spółce.

NOTIFICATION ON A CHANGE IN THE SHARE IN THE TOTAL NUMBER OF VOTES IN A PUBLIC COMPANY

Pursuant to the article 77h paragraph 3 in connection with article 69a paragraph 1 of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and on Public Companies ("Act on Public Offering"), UBO submits this notice.

1. THE DATE AND KIND OF THE EVENT RESULTING IN THE CHANGE OF THE SHARE OF VOTES HELD WHICH THE NOTIFICATION CONCERNS

The basis of the notification is the execution on 22 October 2024 of the settlement of the transaction for the acquisition of the Company's shares ("Shares") as a result of the tender offer for the sale of the Shares announced by Gi Group Holding S.p.A. with its registered office in Milan, Italy ("GGH") on 12 September 2024 (the 'Shares Acquisition'), resulting in a change in GGH's shareholding in the total number of votes in the Company.

THE NUMBER OF SHARES HELD BEFORE THE CHANGE IN THE SHARE AND THE PERCENTAGE SHARE OF THE SHARES IN THE SHARE CAPITAL OF THE COMPANY AND THE NUMBER OF VOTES ATTACHED TO THESE SHARES AND Przed Nabyciem Akcji UBO posiadał pośrednio poprzez GGH 149.637.394 (słownie: sto czterdzieści dziewięć milionów sześćset trzydzieści siedem tysięcy trzysta dziewięćdziesiąt cztery) Akcje reprezentujące 94,81% kapitału zakładowego Spółki i uprawniające do wykonywania 149.637.394 (słownie: sto czterdzieści dziewięć milionów sześćset trzydzieści siedem tysięcy trzysta dziewięćdziesiąt cztery) głosy na walnym zgromadzeniu Spółki, stanowiące 94,81% ogólnej liczby głosów Spółki.

2. LICZBA AKCJI POSIADANYCH PO ZMIANIE UDZIAŁU I ICH PROCENTOWY UDZIAŁ W KAPITALE ZAKŁADOWYM SPÓŁKI ORAZ LICZBA GŁOSÓW Z TYCH AKCJI I ICH PROCENTOWY UDZIAŁ W OGÓLNEJ LICZBIE GŁOSÓW

Po Nabyciu Akcji UBO posiada pośrednio poprzez GGH 149.817.703 (słownie: sto czterdzieści dziewięć milionów osiemset siedemnaście tysięcy siedemset trzech) Akcje reprezentujące 94,92% kapitału zakładowego Spółki i uprawniające do wykonywania 149.817.703 (słownie: sto czterdzieści dziewięć milionów osiemset siedemnaście tysięcy siedemset trzech) głosów na walnym zgromadzeniu Spółki, stanowiące 94,92% ogólnej liczby głosów Spółki.

GGH nie posiada pośrednio żadnych Akcji. GGH does not hold indirectly any Shares.

4. PODMIOTY ZALEŻNE OD AKCJONARIUSZA DOKONUJĄCEGO ZAWIADOMIENIA, POSIADAJĄCE AKCJE

GGH jest jedynym podmiotem zależnym od UBO, który posiada Akcje. UBO pośrednio kontroluje podmiot posiadający 100% akcji GGH, zgodnie z poniższym opisem:

• 1) UBO posiada 80% akcji Familia S.R.L.;
• 2) Familia S.R.L. jest jedynym akcjonariuszem GGH.

THEIR PERCENTAGE SHARE IN THE TOTAL NUMBER OF VOTES

Before the Shares Acquisition, UBO held indirectly through GGH 149,637,394 (in words: one hundred and forty-nine million six hundred and thirty-seven thousand three hundred and ninety-four) Shares representing 94.81% of the Company's share capital and authorizing to exercise 149,637,394 (in words: one hundred and forty-nine million six hundred and thirty-seven thousand three hundred and ninety-four) votes at the Company's Shareholders' Meeting, and representing 94.81% of the total voting rights in the Company's Shareholders' Meeting.

1. THE NUMBER OF SHARES HELD AFTER THE CHANGE IN THE SHARE AND THEIR PERCENTAGE SHARE IN THE SHARE CAPITAL OF THE COMPANY AND THE NUMBER OF VOTES ATTACHED TO THESE SHARES AND THEIR PERCENTAGE SHARE IN THE TOTAL NUMBER OF VOTES

After the Shares Acquisition, UBO holds indirectly through GGH 149,817,703 (in words: one hundred and forty-nine million eight hundred and seventeen thousand seven hundred and three) Shares representing 94.92% of the Company's share capital, authorizing to exercise 149,817,703 (in words: one hundred and forty-nine million eight hundred and seventeen thousand seven hundred and three) votes at the Company's Shareholders' Meeting and representing 94.92% of the total voting rights in the Company's Shareholders' Meeting.

4. SUBJECTS SUBSIDIARY TO THE SHAREHOLDER MAKING THE NOTIFICATION AND HOLDING THE SHARES

GGH is the only subsidiary of UBO which holds the Shares. UBO exercises control over the legal entity holding 100% of GGH's shares, through indirect ownership rights as outlined below:

• 1) Beneficial Owner holds 80% of the shares in Familia S.R.L.;
• 2) Familia S.R.L. is the sole shareholder of GGH.

5. OSOBY, O KTÓRYCH MOWA W ART. 87 UST. 1 PKT 3 LIT. C USTAWY O OFERCIE

Nie istnieją osoby, o których mowa w art. 87 ust. 1 pkt 3 lit. c Ustawy o Ofercie.

6. INSTRUMENTY FINANSOWE, O KTÓRYCH MOWA W ART. 69B UST. 1 USTAWY O OFERCIE

UBO nie posiada instrumentów finansowych, o których mowa w art. 69b ust. 1 Ustawy o Ofercie.

7. LICZBA GŁOSÓW Z AKCJI, OBLICZONA W SPOSÓB OKREŚLONY W ART. 69B UST. 3 USTAWY O OFERCIE

UBO nie posiada instrumentów finansowych, o których mowa w art. 69b ust. 1 Ustawy o Ofercie, w związku z czym UBO nie posiada głosów z Akcji obliczonych zgodnie z art. 69b ust. 3 Ustawy o Ofercie.

8. ŁĄCZNA SUMA LICZBY GŁOSÓW I JEJ PROCENTOWY UDZIAŁ W OGÓLNEJ LICZBIE GŁOSÓW

Po Nabyciu Akcji łączna suma głosów posiadanych przez UBO pośrednio poprzez GGH na walnym zgromadzeniu Spółki wynosi 149.817.703 (słownie: sto czterdzieści dziewięć milionów osiemset siedemnaście tysięcy siedemset trzy) głosy, stanowiące 94,92% ogólnej liczby głosów Spółki.

5. THE PERSONS REFERRED TO IN ARTICLE 87 PARAGRAPH 1 POINT 3 LETTER C OF THE ACT ON PUBLIC OFFERING

There are no persons referred to in article 87 paragraph 1 point 3 letter c of the Act on Public Offering.

6. FINANCIAL INSTRUMENTS REFERRED TO IN ARTICLE 69B PARAGRAPH 1 OF THE ACT ON PUBLIC OFFERING

UBO does not have financial instruments referred to in article 69b paragraph 1 of the Act on Public Offering.

7. THE NUMBER OF VOTES ATTACHED TO SHARES, CALCULATED IN THE MANNER SET OUT IN ARTICLE 69B, PARAGRAPH 3 OF THE ACT ON PUBLIC OFFERING

UBO does not have financial instruments referred to in article 69b paragraph 1 of the Act on Public Offering, therefore UBO does not have votes from the Shares calculated in accordance with article 69b paragraph 3 of the Act on Public Offering.

8. THE AGGREGATE TOTAL NUMBER OF VOTES AND ITS PERCENTAGE SHARE IN THE OVERALL NUMBER OF VOTES

After the Shares Acquisition the aggregate total number of votes held by UBO indirectly through GGH at the Company's shareholders' meeting is 149,817,703 (in words: one hundred and forty-nine million eight hundred and seventeen thousand seven hundred and three) votes, representing 94.92% of the total voting rights.
