ZAWIADOMIENIE O ZMIANIE UDZIAŁU W OGÓLNEJ LICZBIE GŁOSÓW W SPÓŁCE PUBLICZNEJ

Wykonując obowiązek określony w art. 69 ust. 2 punkt 2 ustawy z dnia 29 lipca 2005 r. o ofercie publicznej i warunkach wprowadzania instrumentów finansowych do zorganizowanego systemu obrotu oraz o spółkach publicznych ("Ustawa o Ofercie"), GI International składa niniejsze zawiadomienie.

1. DATA I RODZAJ ZDARZENIA POWODUJĄCEGO ZMIANĘ UDZIAŁU, KTÓREJ DOTYCZY ZAWIADOMIENIE

Podstawą zawiadomienia jest powzięcie w dniu 15 lutego 2022 r. przez GI International wiadomości o rozliczeniu wezwania z dnia 21 grudnia 2021 r. do zapisywania się na sprzedaż akcji Spółki ("Wezwanie") i nabyciu w tym dniu przez GI International 7.648.138 akcji Spółki.

2. LICZBA AKCJI POSIADANYCH PRZED ZMIANĄ UDZIAŁU I ICH PROCENTOWY UDZIAŁ W KAPITALE

NOTIFICATION ON A CHANGE IN THE SHARE IN THE TOTAL NUMBER OF VOTES IN A PUBLIC COMPANY

Pursuant to the article 69 paragraph 2 point 2 of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading and on Public Companies ("Act on Public Offering"), GI International hereby submits this notice.

1. THE DATE AND KIND OF THE EVENT RESULTING IN THE CHANGE OF THE SHARE OF VOTES HELD WHICH THE NOTIFICATION CONCERNS

The basis of the notification is the information received by GI International on 15 February 2022 on the settlement of the tender offer for the sale of shares dated 21 December 2021 ("Tender Offer") and on the acquisition of 7,648,138 shares of the Company.

2. THE NUMBER OF SHARES HELD BEFORE THE CHANGE IN THE SHARE OF VOTES HELD AND THE

Przed nabyciem akcji Spółki w wyniku Wezwania GI International posiadał bezpośrednio 49.425.789 (słownie: czterdzieści dziewięć milionów czterysta dwadzieścia pięć tysięcy siedemset osiemdziesiąt dziewięć) akcji Spółki reprezentujących 75.17% kapitału zakładowego Spółki i uprawniających do wykonywania 49.425.789 (słownie: czterdzieści dziewięć milionów czterysta dwadzieścia pięć tysięcy siedemset osiemdziesiąt dziewięć) głosów na walnym zgromadzeniu Spółki, stanowiących 75.17% ogólnej liczby głosów Spółki.

3. LICZBA AKTUALNIE POSIADANYCH AKCJI I ICH PROCENTOWY UDZIAŁ W KAPITALE ZAKŁADOWYM SPÓŁKI ORAZ LICZBA GŁOSÓW Z TYCH AKCJI I ICH PROCENTOWY UDZIAŁ W OGÓLNEJ LICZBIE GŁOSÓW

Po nabyciu akcji Spółki w wyniku Wezwania ogólny stan posiadania akcji Spółki przez GI International wzrósł do poziomu 57.073.927 (słownie: pięćdziesiąt siedem milionów siedemdziesiąt trzy tysiące dziewięćset dwadzieścia siedem) akcji Spółki.

Aktualnie GI International może wykonywać prawo głosu z 57.073.927 (słownie: pięćdziesiąt siedem milionów siedemdziesiąt trzy tysiące dziewięćset dwadzieścia siedem) akcji Spółki reprezentujących 86,80% kapitału zakładowego Spółki i uprawniających do wykonywania 57.073.927 (słownie: pięćdziesiąt siedem milionów siedemdziesiąt trzy tysiące dziewięćset dwadzieścia siedem) głosów na walnym zgromadzeniu Spółki, stanowiących 86,80% ogólnej liczby głosów Spółki.

GI International nie posiada pośrednio żadnych akcji Spółki.

PERCENTAGE SHARE OF THE SHARES IN THE INITIAL CAPITAL OF THE COMPANY AND THE NUMBER OF VOTES ATTACHED TO THESE SHARES AND THEIR PERCENTAGE SHARE IN THE TOTAL NUMBER OF VOTES

Before the acquisition of shares of the Company as a result of the Tender Offer, GI International hold directly 49,425,789 (in words: forty nine million four hundred twenty five thousand seven hundred eighty nine) shares of the Company representing 75.17% of the Company's share capital and authorizing to exercise 49.425.789 (in words: forty nine million four hundred twenty five thousand seven hundred eighty nine) votes at the Company's Shareholders' Meeting, representing 75.17% of the total voting rights in the Company's Shareholders' Meeting.

3. THE NUMBER OF CURRENTLY HELD SHARES AND THEIR PERCENTAGE SHARE IN THE INITIAL CAPITAL OF THE COMPANY AND THE NUMBER OF VOTES ATTACHED TO THESE SHARES AND THEIR PERCENTAGE SHARE IN THE TOTAL NUMBER OF VOTES

After the acquisition of the shares of the Company as a result of the Tender Offer, the total number of shares held by GI International increased up to 57,073,927 (in words: fifty seven million seventy three thousand nine hundred twenty seven) shares of the Company.

Currently, GI International will be able to exercise voting rights from 57,073,927 (in words: fifty seven million seventy three thousand nine hundred twenty seven) shares of the Company representing 86.80% of the Company's share capital and authorizing to exercise 57,073,927 (in words: fifty seven million seventy three thousand nine hundred twenty seven) votes at the Company's Shareholders' Meeting, representing 86.80% of the total voting rights in the Company's Shareholders' Meeting.

GI International does not hold indirectly any Company's shares.

4. PODMIOTY ZALEŻNE OD AKCJONARIUSZA DOKONUJĄCEGO ZAWIADOMIENIA, POSIADAJĄCE AKCJE SPÓŁKI

GI International nie posiada podmiotów zależnych, które posiadałyby akcje Spółki.

5. OSOBY, O KTÓRYCH MOWA W ART. 87 UST. 1 PKT 3 LIT. C USTAWY O OFERCIE

Nie istnieją osoby, o których mowa w art. 87 ust. 1 pkt 3 lit. c Ustawy o Ofercie.

6. INSTRUMENTY FINANSOWE, O KTÓRYCH MOWA W ART. 69B UST. 1 USTAWY O OFERCIE

GI International nie posiada instrumentów finansowych, o których mowa w art. 69b ust. 1 Ustawy o Ofercie.

7. LICZBA GŁOSÓW Z AKCJI, OBLICZONA W SPOSÓB OKREŚLONY W ART. 69B UST. 3 USTAWY O OFERCIE

GI International nie posiada instrumentów finansowych, o których mowa w art. 69b ust. 1 Ustawy o Ofercie, w związku z czym GI International nie posiada głosów z akcji obliczonych zgodnie z art. 69b ust. 3 Ustawy o Ofercie.

8. ŁĄCZNA SUMA LICZBY GŁOSÓW I JEJ PROCENTOWY UDZIAŁ W OGÓLNEJ LICZBIE GŁOSÓW

Wg stanu na dzień 15 lutego 2022 r., tj. po nabyciu akcji Spółki w wyniku Wezwania, łączna suma głosów posiadanych bezpośrednio przez GI International w Spółce na walnym zgromadzeniu Spółki wynosi 57.073.927 (słownie: pięćdziesiąt siedem milionów siedemdziesiąt trzy tysiące dziewięćset dwadzieścia siedem) głosów, stanowiących 86,80% ogólnej liczby głosów Spółki.

4. SUBJECTS SUBSIDIARY TO THE SHAREHOLDER MAKING THE NOTIFICATION AND HOLDING THE COMPANY'S SHARES.

GI International does not have any subsidiaries holding the Company's shares.

5. THE PERSONS REFERRED TO IN ARTICLE 87 PARAGRAPH 1 POINT 3 LETTER C OF THE ACT ON PUBLIC OFFERING

There are no persons referred to in article 87 paragraph 1 point 3 letter c of the Act on Public Offering.

6. FINANCIAL INSTRUMENTS REFERRED TO IN ARTICLE 69B PARAGRAPH 1 OF THE ACT ON PUBLIC OFFERING

GI International does not have financial instruments referred to in article 69b paragraph 1 of the Act on Public Offering.

7. THE NUMBER OF VOTES ATTACHED TO SHARES, CALCULATED IN THE MANNER SET OUT IN ARTICLE 69B, PARAGRAPH 3 OF THE ACT ON PUBLIC OFFERING

GI International does not have financial instruments referred to in article 69b paragraph 1 of the Act on Public Offering, therefore GI International does not have votes from shares calculated in accordance with article 69b paragraph 3 of the Act on Public Offering.

8. THE AGGREGATE TOTAL NUMBER OF VOTES AND ITS PERCENTAGE SHARE IN THE OVERALL NUMBER OF VOTES

As of 15 February 2022, i.e. after the acquisition of the shares of the Company in the Tender Offer, the aggregate total number of votes held directly by GI International at the Company's Shareholders' Meeting is 57,073,927 (in words: fifty seven million seventy three thousand nine hundred twenty seven) votes, representing 86.80% of the total voting rights.

GI International aktualnie nie posiada pośrednio żadnych akcji Spółki.

GI International currently does not hold indirectly any Company's shares.
