PRESS RELEASE

DISCLOSURE OF TOTAL AMOUNT OF VOTING RIGHTS

pursuant to Art. 85-bis, par. 4-bis, of Consob's Issuers Regulation no. 11971/1999

Milan, 6 January 2023 – This press release is made pursuant to Art. 85-bis, par. 4-bis of Consob's Issuers Regulation no. 11971/1999, as well as to Art. 2.6.2, par. 1, letter a) of Borsa Italiana S.p.A. Regulation.

Giglio Group S.p.A. ("Giglio Group") announces that, on the 31 December 2022, the voting rights of 2,097,050 ordinary shares owned by Meridiana Holding S.r.l. have accrued, pursuant to Art. 127-quinquies of Legislative Decree no. 58/1998 (CFA) and in accordance with Art. 6 of the Company's By-laws and of the Regulation for increased voting rights adopted by Giglio Group. Due to said increase, each of the 2,097,050 ordinary shares with voting right shall now have two votes, for a total amount of 4,194,100 voting rights (equal to 12.442% of total voting rights).

The subscribed and paid-in share capital of Giglio Group amounts to Euro 4,393,604.40, represented by 21,968,022 ordinary shares, with no indication of the nominal value.

The total number of ordinary shares with increased voting rights (two voting rights per share) is n. 11,740,912, for a total amount of n. 23,481,824 voting rights (equal to 69.661% of the total voting rights).

Pursuant to Art. 127-quinquies, par. 8 of the CFA and to Art. 6.2.4 of the Company's By-laws, the increased voting rights shall be counted after calculating the voting quorums, for constitution and passing resolutions, that refer to the share capital's rates but that do not have ant effect on the rights, other than the voting one, entitled to shareholders in possess of specific share capital's rates.

It is also noted that a further 485,547ordinary shares owned by Meridiana Holding S.r.l. are currently registered in the list of shares with increased voting rights and that their increase has yet to be accrued.

The figures related to the outstanding shares and to the number of voting rights exercisable as of today are reported in the following table.
