Correction of a clerical error in the Regulation of the Bond Issue "GIGLIO GROUP S.P.A. - 5.4% 2016 to 2022 "of Nominal value Euro 3,500,000 - ISIN IT0005172157
GIGLIO GROUP S.P.A. ("ISSUER")
CONSIDERING the Admission Document containing the Regulation of the Bond Issue "GIGLIO GROUP S.P.A. - 5.4% 2016 to 2022 "of Nominal Euro 3.500.000, - ISIN IT0005172157 ("PO Regulations") published 10 March, 2016 on the Issuer's website,
PLEASE NOTE THAT there is a clerical error on page 36 of the PO Regulations in the definition of "cash flow after debt service",
GIVEN THAT the Issuer has the possibility to make any amendments to the PO regulations even without the consent of the Bondholders in accordance with Article. 16 of the same Regulation,
CONSIDERING the necessity to correct the clerical error at issue and to render public a materially correct version of the Admission Document on the website of the Issuer pursuant to art. 21 of the OP Regulations,
INFORMS
That the PO Regulation is amended at the definition of "cash flow after debt service" as follows:
- 1. At point 13 the Balance Sheet item "(+) Δ PFN" is replaced with the Balance Sheet item "(+) Δ Financial Debt";
- 2. At point 15 the Balance Sheet item "(+) Adjustments to financial activities" is inserted.
In light of the above, it has also been amended the Regulation of the Bond Issue called "Giglio Group SpA - 5,4% 2016 to 2022" in the parts of specific interest.
The Admission Document is published containing the PO Regulations as amended.
