REPORTS OF BDO ITALIA S.P.A. AUDITING FIRM ON DRAFT AND CONSOLIDATED FINANCIAL STATEMENTS AS OF 31 DECEMBER 2022 DECLARATIONS OF IMPOSSIBILITY TO EXPRESS AN OPINION
Milan, 3 May 2023 – Giglio Group S.p.A. (the "Company") announces that the auditing firm BDO Italia S.p.A. (the "Auditing Firm") released its own report on the audit of the draft Financial Statements as of 31 December 2022, which contains the following declaration of impossibility to express an opinion: "We do not express an opinion on the Company's financial statements.. Due to the relevance of the matters described in the "Elements underlying the declaration of impossibility to express an opinion" section of this report, we have been unable to obtain sufficient appropriate audit evidence about the measurement of material financial statements items, also in order to evaluate the adequacy of the use of the going concern assumption, in the preparation of the Financial Statements as of 31 December 2022".
The Auditing Firm also released its report on the audit of the draft consolidated financial statements as of 31 December 2022 (together with that on the draft financial statements, the "Reports") which contains the same declaration of impossibility of expressing an opinion."
With regard to the reasons for which the Auditing Firm reached the aforementioned opinion, please refer to the related Report - attached in full to this press release and available to the public at the registered office, on the Company's website and on the authorized storage mechanism "E-MarketStorage" ().
The Board of Directors acknowledges the conclusions reached by the Auditing Firm in the knowledge that it has acted correctly in the interests of the Company and reserves further comments following a more in-depth examination of the Reports.
With regard to the existence of the assumption of going concern, please refer to the "Going Concern" section contained in the Directors' Report, within the Explanatory Notes to the draft and Consolidated Financial Statements as of 31 December 2022, subject to publication pursuant to the law and regulation with the same methods as the Reports.
