Dear Shareholder,

2021 Annual General Meeting

Gibb River Diamonds Limited (ASX: GIB) ( Gibb River or the Company ) advises that its Annual General Meeting ( Meeting ) will be held in person at the offices of HLB Mann Judd, Level 4, 130 Stirling Street, Perth WA 6000 on Friday, 12 November 2021 at 1.30pm (AWST).

In accordance with recent amendments to the Corporations Act 2001 (Cth) under the Treasury Laws Amendment (2021 Measures No. 1) Act 2021., the Company will not be sending hard copies of the Notice of Annual General and Explanatory Memorandum to Shareholders. Instead, Shareholders can view and download the Notice of Annual General Meeting and accompanying Explanatory Memorandum on the Company’s website at www.gibbriverdiamonds.com or from the ASX website at www.asx.com.au.

With regards to the COVID-19 pandemic, the Company will adhere to all social distancing measures prescribed by government authorities at the Meeting, and Shareholders attending the Meeting will need to ensure they comply with the protocols. We are concerned for the safety and health of Shareholders, staff and advisers, so we will put in place certain measures including social distancing requirements.

As a precaution in relation to COVID-19, each Resolution will be decided by poll, based on proxy votes and by votes from Shareholders in attendance at the Meeting. Shareholders are strongly encouraged to vote by lodging the proxy form attached to this letter, in accordance with the instructions set out in the proxy form, by no later than 5.00pm (AWST) on 10 November 2021 (being at least 48 hours before the Meeting).
