With reference to the subject cited, this is to inform the Exchange that the meeting of the Board of Directors of Sindu Valley Technologies Limited held on Wednesday, October 18, 2024 at 4:00 p.m. at the registered office of the Company, the following were considered and approved:

The increase in authorized share capital of the company from existing Rs. 1,20,00,000 (Rupees One Crore Twenty Lacs Only) divided into 12,00,000 (Twelve Lac) Equity Shares of Rs. 10/- (Rupees Ten Only) each to Rs. 16,00,00,000/- (Rupees Sixteen Crores) divided into 1,60,00,000 (One Crore Sixty Lacs) Equity Shares of having face value of Rs.10/- (Rupees Ten Only) by creating additional Rs. 4,00,00,000 (Rupees Four Crores Only) Equity Shares of Rs. 10/- each, subject to approval of shareholders;

The Board of Directors of the Company has decided to Alteration in article 4 sub clause (a) of the Articles of Association of the Company by insert the new article for to empower the Company for the said further issue of securities may be made in any manner whatsoever as the Board may determine including by way of preferential offer or private placement.

a) Issue, offer and allot upto 1,10,00,000 Equity Shares of Rs. 10/- each on preferential basis to the persons belonging to Non-Promoter Category and proposed to be classified as Promoters pursuant to Open offer under SEBI (Substantial Acquisitions of Shares and Takeovers) Regulations, 2011, at such price as determined in accordance with the provision of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 as amended from time to time, subject to the approval of members.

b) Issue, offer and allot upto 40,00,000 Equity Shares of Rs. 10/- each on preferential basis to the persons belonging to the Non-Promoter Category at such price as determined in accordance with the provision of the Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018 as amended from time to time, subject to the approval of members.
