With reference to the subject cited, this is to inform the Exchange that the meeting of the Board of Directors of Sindu Valley Technologies Limited held on Saturday, October 26, 2024 at 4:00 p.m. at the registered office of the Company, the following were considered and approved:

With reference to the earlier intimation for outcome of BM dated 18[th] October 2024 pursuant to the provisions of the Securities Exchange Board of India (Listing Obligations and Disclosure Requirement) Regulations, 2015, The Board of Directors of the Company has decided to alter point No. 2 of such outcome and now decided to adopt new set of Article of Association of the Company as per table F of the Companies Act, 2013 in substitution for, and to the exclusion of, the existing Article of Association of the Company.

With reference to the earlier intimation for outcome of BM dated 18[th] October 2024 pursuant to the provisions of the Securities Exchange Board of India (Listing Obligations and Disclosure Requirement) Regulations, 2015, The Board of Directors of the Company has decided to alter point No. 4 of such outcome and now decided to conduct EOGM to be held on Tuesday, the November 19, 2024 at 11:00 A.M. through Video Conferencing.
