We write to inform you that 'NRTC Food Holding LLC', a subsidiary of Ghitha Holding PJSC, signed a Share Purchase Agreement ("SPA") for the acquisition of 70% shares in TAZ.AA HEALTHY FOOD INDUSTRIES LLC and TAAZA QUALITY FOODSTUFF TRADING LLC for an undisclosed consideration.

The completion of the transaction is subject to the satisfaction of certain conditions under the SPA and receipt of regulatory approvals.
