On June 8, 2021, GFL Environmental Inc. (the “Company”) completed its previously announced offering of US$750.0 million in aggregate principal amount of 4.750% Senior Notes due 2029 (the “Notes”). The Notes were issued pursuant to an indenture dated as of June 8, 2021 (the “Indenture”) among the Company, the guarantors from time to time party thereto and Computershare Trust Company, N.A., as trustee. The maturity date of the Notes is June 15, 2029. The Notes were offered and sold in the United States only to persons reasonably believed to be qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and outside the United States pursuant to Regulation S under the Securities Act.
