Item 8.01. Other Events

On October 5, 2012, Geospace Technologies Corporation announced a 2-for-1 forward stock split via a press release, a copy of which is attached as Exhibit 99.1. On October 18, 2012, each stockholder will receive one additional share of common stock for each outstanding share of common stock held at the close of business on October 15, 2012.
