Cleansing Notice – Placement Tranche 2

This Notice is given by Geopacific Resources Limited ACN 003 208 393 (“Company”) under section 708A(5)(e) of the Corporations Act 2001 (Corporations Act) in relation to an issue of 289,571,862 fully paid ordinary shares by the Company without disclosure to investors under Part 6D.2 of the Corporations Act (“Tranche 2 Shares”).

The Tranche 2 Shares were issued by way of a placement to sophisticated and professional investors, announced to ASX on 14 December 2020, following shareholder approval of the issue of Tranche 2 Shares being obtained at the extraordinary general meeting held on 3 February 2021 pursuant to Listing Rules 7.1 and 10.11.

As a disclosing entity, the Company is subject to regular reporting and disclosure obligations. As the Tranche 2 Shares were issued without disclosure under Part 6D.2 of the Corporations Act, as at the date of this notice, the Company confirms it has complied with:

• a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

• b) section 674 of the Corporations Act.

The Company also confirms that, as at the date of this notice, there is no ‘excluded information’ within the meaning of sections 708A(7) and 708A(8) of the Corporations Act that is required to be set out in this notice under section 708A(6)(e) of the Corporations Act.
