Cleansing Notice – Sprott Subscription Shares

This notice is given by Geopacific Resources Limited ACN 003 208 393 (“Company”) under section 708A(5)(e) of the Corporations Act 2001 (“Corporations Act”) in relation to an issue of 5,404,655 fully paid ordinary shares by the Company to Sprott Private Resource Lending II (Co), Inc ("Sprott") without disclosure to investors under Part 6D.2 of the Corporations Act (“Subscription Shares”).

The Subscription Shares were issued to Sprott on 29 June 2021 under the terms of a Subscription Agreement between the Company and Sprott dated 24 June 2021 and forms part of the debt financing arrangements announced to ASX on 28 June 2021.

As a disclosing entity, the Company is subject to regular reporting and disclosure obligations. As the Subscription Shares were issued without disclosure under Part 6D.2 of the Corporations Act, as at the date of this notice, the Company confirms it has complied with:

• a) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and

• b) section 674 of the Corporations Act.

The Company also confirms that, as at the date of this notice, there is no ‘excluded information’ within the meaning of sections 708A(7) and 708A(8) of the Corporations Act that is required to be set out in this notice under section 708A(6)(e) of the Corporations Act.
