Geopacific Resources NL (”Geopacific” “the Company”) is pleased to advise that it has resolved to raise up to $1.2 million through a placement of up to 5,461,364 new ordinary fully paid shares at an issue price of 22 cents to institutional and sophisticated investors (“the Placement”).

Hartleys Limited is Broker to the Offer.

The funds raised pursuant to the Placement will be used to fund exploration and drilling work at the Company’s copper-gold prospective projects in Fiji and for general working capital purposes.

The Placement shares will carry free attaching options on the basis of one (1) free option for every two (2) shares subscribed pursuant to the Placement. The options will have an exercise price of $0.35 each and an expiry date of 19 January 2013 (GPRO). The Company will apply for listing of the options with the Australian Securities Exchange.

The Placement will be completed in two tranches. The first tranche of up to 3,000,000 shares and 1,500,000 attaching options will be issued pursuant to the Company’s 15% placement capacity under ASX listing rule 7.1. The second tranche of up to 2,461,364 shares and 1,230,682 attaching options will be issued subject to shareholder approval at a General Meeting of shareholders currently scheduled for on or around Monday, 26 March 2012.

APPOINTMENT OF JOINT COMPANY SECRETARY

Geopacific Resources NL has appointed Mr Mark Pitts as Joint Company Secretary.
