The newco Cesare Gatti S.r.l. is established, owned 70% by Gentili Mosconi and 30% by the Camozzi Group. It will be the subject of a relaunch plan aimed at the production of high value-added yarns, scarves and fabrics, with the recovery of raw materials and precious fibers to meet the growing sustainability needs of the luxury supply chain.
The operation is part of the growth path through external lines initiated some time ago by Gentili Mosconi, aimed at building an integrated hub of textile excellence and protecting the high-end supply chain.
Casnate con Bernate (CO), December 18, 2025 – Gentili Mosconi S.p.A. ("Company" or "Gentili Mosconi") – a leading group in the luxury fashion market, active in the creation, production, printing, and customization of natural fabrics serving the main international players in the luxury world, listed on the Euronext Growth Milan market, organized and managed by Borsa Italiana – announces that it has finalized the acquisition of Lanificio Cesare Gatti S.p.A., a historic name in the Biella textile district, contributing it to the newly formed Cesare Gatti S.r.l.
Francesco Gentili, CEO and Founder of Gentili Mosconi, stated: "The acquisition of Lanificio Cesare Gatti represents an industrial and territorial consolidation operation that allows us to protect manufacturing skills of great value and, at the same time, to strengthen the Group's production chain. We thus continue to invest in quality, innovation, and high value-added services for international luxury, confirming that textile excellence remains a strategic asset for the Italian manufacturing economy.
Lanificio Cesare Gatti was founded in 1948 in Camburzano, in the province of Biella, as a reference point for the production of cashmere products, and has always established itself as an excellence of Italian textile tradition in the landscape of high-end spinning and fabrics.
As communicated in the note released on November 28, 2025, to which reference is made, on September 11, 2025, Gentili Mosconi presented a binding purchase proposal relating to the company belonging to Lanificio Cesare Gatti S.p.A. (the "Company"), within the framework of the restructuring procedure initiated by the latter pursuant to Article 44 of Legislative Decree no. 14/2019 ("CCII"). Following this proposal, the Court of Biella, by decree of October 3, 2025, made the completion of the sale subject to the outcome of a competitive procedure, pursuant to Article 91 CCII, aimed at soliciting the presentation of competing and improved offers compared to the one formulated by Gentili Mosconi. During the procedure, no competing bids were received; therefore, in accordance with the aforementioned decree and benefiting from the protections provided by the insolvency procedure, Gentili Mosconi obtained authorization from the Court of Biella to conclude the operation under the conditions provided for in the original offer.
In the meantime, Cesare Gatti S.r.l. was established, owned 70% by Gentili Mosconi and 30% by the Camozzi Group, a Brescia-based reference point in the textile-machinery and industrial automation sector, as the designated entity for the purchase of the Company.
The operation, with a purchase value of 600 thousand euros, was entirely financed with the newco's own resources. The financial outlay was equal to 538,923.12 thousand euros, taking into account the assumption of the severance pay (TFR) of the transferred employees.

Cesare Gatti S.r.l., which currently has a reduced workforce of five employees, will be progressively relaunched through industrial projects and selective investments, with the aim of producing high valueadded yarns, scarves and fabrics. This project also includes the enhancement of precious fibers and the integration of innovative processes related to the circular economy and the recovery of raw materials, responding to the growing sustainability needs of the luxury supply chain.
The operation is part of the path of growth through external lines initiated some time ago by the Group and accelerated with the stock exchange listing in 2023, aimed at building a synergistic hub of textile excellence. The acquisition also allows Gentili Mosconi to strengthen direct control over the key skills of the high-end textile supply chain, integrating them into a structured industrial platform oriented toward serving major national and international luxury brands.
