Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 21, 2021, Paul Giberson, Senior Vice President, Global Sales, provided notice to Gentherm Incorporated (the “Company”) of his resignation from the Company effective October 31, 2021. Thereafter, Mr. Giberson may provide consulting services to the Company for a limited time period. Mr. Giberson’s departure was not a result of any disagreement on any matter relating to the Company’s operations, policies, or practices.

Item 8.01 Other Events

In connection with Mr. Giberson’s departure, Jaymi Wilson, the Company’s Senior Vice President, Strategy, Marketing and Corporate Communications, will transition to the position of Senior Vice President of Global Sales, Marketing and Corporate Communications and Yijing Brentano, the Company’s Senior Vice President, Investor Relations and Global Financial Planning and Analysis, will transition to the position of Senior Vice President of Strategy, Corporate Development and Investor Relations, both effective October 1, 2021.
