Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On February 23, 2012, Lon E. Bell and James J. Paulsen, directors of Amerigon Incorporated (the “Corporation”), delivered written notice to the Corporation that they will resign as directors of the Corporation effective immediately prior to the next annual meeting of the Corporation’s stockholders, which is scheduled for May 10, 2012.

A copy of the Corporation’s news release announcing the above resignations is filed as Exhibit 99.1 to this report and is incorporated in this report by reference.
