This announcement is made by the Company pursuant to Rule 13.09 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the “ Listing Rules ”) and Inside Information Provisions under Part XIVA of the Securities and Future Ordinance.

The board of directors (the “ Board ”) of Genscript Biotech Corporation (the “ Company ”, together with its subsidiaries, collectively, the “ Group ”) wishes to inform the shareholders of the Company and potential investors that, based on the latest review of the unaudited management accounts of the Group for the year ended December 31, 2015 (the “ Management Accounts ”) and the information currently available to the Group, the Group is expected to record a significant increase in the net profit for the year ended December 31, 2015, as compared to the year ended December 31, 2014, mainly due to a substantial gain arising from the settlement of the dispute in connection with the U.S. Lawsuit (as defined and disclosed in the prospectus of the Company dated December 17, 2015). For details of the U.S. Lawsuit, please refer to the prospectus of the Company dated December 17, 2015.

The information contained in this announcement is only based on a preliminary assessment by the Board with reference to the Management Accounts and the information currently available, which is subject to finalization and adjustments where necessary, and has not been reviewed or audited by the Company’s auditors or audit committee. The Company is still in the process of finalizing the annual results of the Group for the year ended December 31, 2015.
