Lille (France), Boston (Massachusetts, United States), December 10, 2014 – GENFIT (Euronext: GNFT ; ISIN : FR0004163111), a biopharmaceutical company at the forefront of developing therapeutic and diagnostic solutions in metabolic and inflammatory diseases, that notably affect the liver or the gastrointestinal system (the "Company"), today announces the launch of a private placement to specialized institutional investors, mainly located in the United-States, of maximum of 583.433 shares.
The issue price of the new shares will be set in accordance with the provisions of Article R.225-119 of the French « Code de commerce » and will be at least equal to the volume weighted average price of Genfit shares over the three trading days prior to the pricing date, with a potential discount to that price not to exceed 5%. w w . g
The proceeds of this transaction, which should be in the range of EUR 18 million, will be used: e n
• to accelerate the clinical development of GFT505 in other indications than NASH, including initiation of a GFT505 phase IIa in Crohn Disease, f
• to initiate and advance the clinical development of new in-licensed coumpound(s) in GENFIT's therapeutric areas of excellence; i t
The capital increase will be carried out without shareholders' preferential subscription rights according to Article L.225-136 of the French Commercial Code and the fourth resolution of the Shareholders General Meeting of April 2, 2014, it will only be open to "qualified investors and/or small groups of investors acting for their own account", as defined by article L. 411-2 II of the French Monetary and Financial Code. r
As per Resolution 4 of the Shareholders General Meeting of April 2, 2014, the maximum size of the capital increase will be 583.433 new shares, representing approximately 2.5% of the current share capital of the Company.
Application will be made to list the new shares on Euronext Paris. A listing prospectus, including an offering note and a supplement to the listing prospectus of the Company's shares on Euronext Paris, will be submitted to the French Financial Markets Authority (AMF) for approval.
