Capital Raising – Placement of Shares

The Board of Genesis Resources Limited ( Genesis or the Company ) is pleased to announce that the Company has reached agreement with a strategic sophisticated investor based in Malaysia, S Active Holding Sdn Bhd ( S Active ), under which S Active will subscribe for shares in the Company on the following terms:

• 11,863,548 fully paid ordinary shares, representing 14.9% of the Company’s current issued share capital;

• issue price of $0.12 per share; and

• total amount to be raised is $1,423,625 ( Placement ).

S Active is not a related party of the Company, and does not currently hold a relevant interest in any shares in the Company. The Company will apply to ASX for quotation of the Placement shares upon their issue.

The funds raised under the Placement will be used to progress the Company’s ongoing exploration activities associated with its Plavica Project in Macedonia, in line with the Company’s strategic plans as announced to the market in May 2012.

The Directors anticipate that the Placement will be completed by Friday 10 August 2012, and will advise the market accordingly upon completion.
