TRANSFER OF INTEREST IN TENEMENTS
The Board of Directors of Genesis Resources Limited (“Genesis” or “the Company”) is pleased to announce that the Company has entered into a letter agreement with WDR Base Metals Pty Ltd (“Base Metals”) in respect to the transfer from Base Metals to Genesis of the 45% participating interest held by Base Metals in certain tenements pursuant to the Joint Venture Agreement between the parties dated 1 July 2008 (“JV Agreement”) .
In consideration for the transfer of the 45% participating interest, Genesis will pay Base Metals $750,000 cash by 4 December 2009. The tenements the subject of the agreement are EPM 15771 at Gladstone in Queensland and EL 24814 at McArthur River in the Northern Territory (“ Tenements ”).
Following completion of the agreement, Base Metals will have no interest in the Tenements and will not be entitled to any other consideration or royalty, the JV Agreement will be terminated and Genesis will own and control 100% of the manganese projects at Gladstone and McArthur River at which it plans to focus its exploration efforts.
