Cessation and Appointment of Directors
Genesis Resources Limited (ASX: GES ) ( Genesis or the Company ) refers to the results of its 2015 Annual General Meeting, and confirms that resolutions to re-elect Messrs John Zee and Kin Po Yu as Directors of the Company were not carried. Accordingly, Messrs Zee and Yu have ceased to be Directors of Genesis as at the close of the Annual General Meeting.
The Board has, immediately after the close of the Company’s Annual General Meeting, appointed Ms Alyn Tai as Non-Executive Director of Genesis. In addition, Director Eddie Pang has been appointed to the role of Acting Chairman of the Board.
Ms Tai is a practising lawyer who specialises in the areas of corporate and commercial law, and the provision of company secretarial and legal counsel services to ASX-listed entities.
The Company’s Board of Directors now consists of Mr Eddie Pang (Managing Director and Acting Chairman), Mr Deric Wee (Non-Executive Director) and Ms Alyn Tai (Non-Executive Director).
The Board aims to be comprised of Directors which have, at all times, the appropriate mix of skills, experience, expertise and diversity relevant to the Company’s businesses and the Board’s responsibilities. The Board intends to commence a process for identifying and appointing a suitably qualified Chairman to the Board to augment and complement the experience and skills represented by the Company’s current Directors.
Appendices 3Z (Final Director’s Interest Notice) in relation to Messrs Zee and Yu, and an Appendix 3X (Initial Director’s Interest Notice) in relation to Ms Tai, will follow shortly.
