Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by Generation Development Group Limited ACN 087 334 370 (ASX: GDG) ( GDG ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ) as notionally modified by ASIC Corporations (Disregarding Technical Relief) Instrument 2016/73 ( ASIC Instrument ).

Where applicable, references in this notice are to sections of the Corporations Act as modified by the ASIC Instrument.

GDG has today issued 27,566,606 fully paid ordinary shares in GDG ( Placement Shares ) to professional and institutional investors in Australia, New Zealand and eligible institutional shareholders in certain foreign jurisdictions in accordance with the announcement by GDG on 10 February 2025.

GDG states that:

• (a) GDG issued the Placement Shares without disclosure to investors under Part 6D.2 of the Corporations Act;

• (b) this notice is being given under section 708A(5)(e) of the Corporations Act;

(c ) as at the date of this notice, GDG has complied with:

(i) the provisions of Chapter 2M of the Corporations Act as they apply to GDG; and

(ii) sections 674 and 674A of the Corporations Act; and

(d) as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Corporations Act.
