Notice under section 708A(5)(e) of the Corporations Act 2001 (Cth)

This notice is given by Generation Development Group Limited ACN 087 334 370 (ASX: GDG) ( GDG ) under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ) as notionally modified by ASIC Corporations (Disregarding Technical Relief) Instrument 2016/73 ( ASIC Instrument ).

Where applicable, references in this notice are to sections of the Corporations Act as modified by the ASIC Instrument.

GDG has today issued 1,938,818 fully paid ordinary shares in GDG ( Shares ) to certain vendors pursuant to the Share and Option Sale Agreement relating to securities in Lonsec Holdings Pty Ltd between GDG and others dated 3 June 2024 ( SOSA ).

GDG states that:

• (a) GDG issued the Shares without disclosure to investors under Part 6D.2 of the Corporations Act;

• (b) this notice is being given under section 708A(5)(e) of the Corporations Act;

• (c) as at the date of this notice, GDG has complied with:

  • (i) the provisions of Chapter 2M of the Corporations Act as they apply to GDG; and (ii) sections 674 and 674A of the Corporations Act; and

(d) as at the date of this notice, there is no excluded information of the type referred to in sections 708A(7) and 708A(8) of the Corporations Act.
