NOTICE OF TERMINATION OF THE SHAREHOLDERS' AGREEMENT BETWEEN GGH – GRUPPO GENERAL HOLDING S.R.L. AND FIRST4PROGRESS S.P.A. (NOW FIRST4PROGRESS 1 S.R.L.)
Milan, July 1 st , 2025 – Further to the disclosure made on December 5th, 2024, Generalfinance hereby announces that, on 29 June 2025, the shareholders' agreement (the "Agreement") executed on 9 June 2022 between GGH – Gruppo General Holding S.r.l. and First4Progress S.p.A. (now First4Progress 1 S.r.l.), has expired on its natural due date, following the lapse of 36 (thirty-six) months from the Trading Start Date.
The disclosure obligations required by applicable laws in connection with the termination of the Agreement will be fulfilled in the manner and within the time limits set forth by such laws.

CESSAZIONE DEL PATTO PARASOCIALE AVENTE A OGGETTO AZIONI ORDINARIE EMESSE DA GENERALFINANCE S.P.A.
Avviso ai sensi dell'art. 122 del D.Lgs. n. 58/1998 (il "TUF") e degli artt. 129 e 131, comma 4, lett. b), del regolamento CONSOB n. 11971/1999 (il "RE")
Si rende noto che il patto parasociale sottoscritto, in data 9 giugno 2022, tra GGH -Gruppo General Holding S.r.l. ("GGH") e First4Progress S.p.A. (ora First4Progress 1 S.r.l.), volto a disciplinare, fra l'altro, taluni aspetti relativi alla governance di Generalfinance S.p.A. (l'"Emittente") e che era entrato in vigore il 29 giugno 2022 (il "Patto"), ha cessato ogni effetto per naturale scadenza in data 29 giugno 2025, essendo divenuta efficace la disdetta comunicata al mercato in data 5 dicembre 2024.
Il Patto Parasociale conteneva previsioni rilevanti ai sensi dell'art. 122, commi 1 e 5, lett. (a) e (b), del TUF.
