Item 1.01. Entry into a Material Definitive Agreement.

On April 3, 2013, Genco Shipping & Trading Limited (the “Company”) entered into Amendment No. 2 to the Management Agreement with its subsidiary, Baltic Trading Limited (“Baltic Trading”), under which the Company serves as Manager. Among other things, the amendment streamlines the process by which the Company assists Baltic Trading with its budgets and corporate planning and clarifies the circumstances in which Baltic Trading may terminate the Management Agreement in the event of a change of control of the Company. The foregoing description is EFPlaceholder qualified in its entirety by reference to the amendment, which is Exhibit 10.1 to this Current Report on Form 8-K and is incorporated herein by reference.
