Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year

On March 27, 2012, the Board of Directors of Genco Shipping & Trading Limited (“Genco”) amended and restated Genco’s By-Laws to specify the individuals who would preside at any annual or special meetings of shareholders in the absence of the Chairman of the Board. The individuals are specified in a new Section 9 of Article II of the Amended and Restated By-Laws. A copy of the Amended and Restated By-Laws as adopted by the Board of Directors is attached as Exhibit 3.1 to this Current Report on Form 8-K and is incorporated herein by reference.
