Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Upon the recommendation of the Compensation Committee (the “Compensation Committee”) of the Board of Directors (the “Board”) of Genco Shipping & Trading Limited (the “Company”), the Board has determined that Peter C. Georgiopoulos, Chairman of the Board, be paid a monthly fee for his services to the Company. Such monthly fee is to be paid at an annual rate of $500,000 per year commencing August 1, 2011.
