Pursuant to the Company's immediate reports 1 , regarding the Local Partner in Mexico (the "Local Partner") being awarded the additional tender published by the Federal Electric Company of Mexico ("CFE" and the "Additional Tender", as applicable), and in light of the fact that the Company has entered into several agreements with the Local Partner for the supply of multiple GenCell REX™ Systems (the "Systems"), the Company is honored to announce that the Company has entered into an additional agreement with the Local Partner for the supply of the remainder of the Additional Systems ("the Second Part of the Order") by the end of the fourth quarter of 2024. ¹ Pursuant to the Company's immediate reports , regarding the Local Partner in Mexico (the "Local Partner") being awarded the additional tender published by the Federal Electric Company of Mexico ("CFE" and the "Additional Tender", as applicable), and in light of the fact that the Company has entered into several agreements with the Local Partner for the supply of multiple GenCell REX™ Systems (the "Systems"), the Company is honored to announce that the Company has entered into an additional agreement with the Local Partner for the supply of the remainder of the Additional Systems ("the Second Part of the Order") by the end of the fourth quarter of 2024.

The expected consideration to the Company for supply of the Second Part of the Order (not including provision of Support and Additional Services) is approximately USD 4.4 million, which is expected to be received in several installments in accordance with the payment schedule as determined between the Parties, and subject to the Local Partner receiving consideration from CFE in accordance with the Additional Tender Terms.
