Settlement of IPO and satisfaction of conditions for conditional market

GemLife Communities Group (ASX: GLF) ( GemLife ) advises that the conditions of the conditional market, as described in the prospectus and product disclosure statement lodged with the Australian Securities and Investments Commission on 17 June 2025 ( Disclosure Document ), have been satisfied, namely:

• settlement under the Underwriting Agreement has occurred; and

• the allotment and issue of Securities to Applicants under the Disclosure Document has completed.

Capitalised terms used but not defined in this announcement have the meaning given in the Disclosure Document.
