PDMR Dealing, Issue of Equity and Total Voting Rights
LONDON, 12 MAY 2023
In accordance with AIM Rule 17, shareholders are advised that Gemfields has issued and allotted 3,282,064 new ordinary shares of USD0.00001 each in the Company ("Ordinary Shares") following the exercise of share options by group employees and Chandana Venkata Suresh (a person discharging managerial responsibilities, or "PDMR").
Chandana Venkata Suresh has exercised 1,800,000 share options at an exercise price of ZAR2.30 per Ordinary Share. Following the above transactions, Chandana Venkata Suresh will have a beneficial holding in 1,895,600 Ordinary Shares, representing 0.15 per cent of the Company.
Chandana Venkata Suresh has instructed the Company to sell the newly exercised Ordinary Shares, and a further announcement will be made once the sale of the above 1,800,000 Ordinary Shares has completed.
Applications have been made for the 3,282,064 new Ordinary Shares to be admitted to trading on AIM and the JSE, both of which are expected to occur on or around 15 May 2023 ("Admission").
Following Admission there will be 1,218,586,612 Ordinary Shares in issue with each Ordinary Share carrying the right to one vote. This is also the total voting rights figure which may be used by shareholders as the denominator for the calculations by which they can determine whether they are required to notify their interests in, or a change to their interest in the Company.
